These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Conscious Health Connections, LLC, a Hawaii limited liability company ("CHC," "we," "our," or "us"). By accessing our website or enrolling in the CHC AI Readiness Program, you agree to be bound by these Terms in full. If you do not agree, do not use our services.

1. Services Provided
CHC provides AI-optimized healthcare digital marketing services through the CHC AI Readiness Program, including:
- Phase 1 — Initial Build (Months 1–2): Full IgoeScan AI Readiness Audit (80+ checks, 9 pillars); custom medical website design and development; AI schema markup implementation (MedicalBusiness, Physician, LocalBusiness, FAQ, Service); E-E-A-T authority build (physician bios, credentials pages, About page, patient journey content); AI crawler optimization (GPTBot, ClaudeBot, PerplexityBot, Google-Extended); local SEO foundation (Google Business Profile, citation building, NAP consistency); Core Web Vitals and performance optimization.
- Phase 2 — Ongoing Services (Month 3+): Monthly IgoeScan reports with score tracking; two (2) practice-approved blog posts per month (1,500+ words each, AI-assisted, written to your specialty); review generation system setup; reputation monitoring with real-time alerts; citation management across 50+ directories; quarterly strategy calls with Jeff Igoe; priority emergency support for urgent website or ranking issues.
The scope of services may be adjusted by mutual written agreement. Additional services outside this scope may be quoted separately.
2. Fees, Billing & Payment
- The CHC AI Readiness Program is billed at $750.00 USD per month, charged automatically via Stripe on the same calendar day each month.
- The first payment is due upon completion of enrollment. Subsequent payments are charged monthly on the anniversary of enrollment.
- By enrolling, you authorize CHC (via Stripe) to charge your designated payment method on a recurring basis until you cancel.
- All fees are non-refundable for services already rendered in a billing period. No prorated refunds are issued for partial months.
- CHC reserves the right to suspend services if a payment fails and is not resolved within 5 business days of notice.
- Prices may be adjusted with 60 days written notice to active clients.
3. Term & Cancellation
This Agreement begins on your enrollment date and has an initial minimum term of twelve (12) months. The total minimum commitment is $9,000.00 USD ($750/month × 12 months).
- Client agrees to pay all monthly fees for the full 12-month initial term regardless of early cancellation. Early termination during the initial term does not relieve Client of the remaining balance owed.
- After the initial 12-month term, this Agreement automatically renews on a month-to-month basis.
- Following the initial term, either party may terminate by providing 30 days written notice via email to jeff.igoe@chealthconnections.com.
- Cancellation takes effect at the end of the then-current billing cycle.
- Upon cancellation and full payment of all fees owed, CHC will deliver a static export of your website within 30 business days.
- CHC may terminate this Agreement immediately for cause, including non-payment, breach of these Terms, or conduct that damages CHC's reputation.
4. Content Approval & Physician Responsibility
All blog posts and written content produced by CHC are submitted to the enrolled physician or designated practice representative for review and approval before publication. By approving content, the physician:
- Confirms the content is accurate and appropriate for their specialty and patient base
- Accepts professional responsibility for the published content under applicable medical board guidelines
- Warrants they have authority to approve content on behalf of the medical practice
CHC is not responsible for errors in content that was approved and published by the client. CHC is not a medical practice and does not provide medical advice.
5. Intellectual Property
- Upon receipt of full payment of all fees due, CHC assigns to Client all right, title, and interest in the custom website design, written content, and deliverables created specifically for Client under this Agreement.
- CHC retains ownership of its proprietary tools, processes, code frameworks, methodologies, and the IgoeScan platform. These are licensed to Client for use during the program but are not transferred upon cancellation.
- CHC reserves the right to display completed work (screenshots, before/after comparisons, IgoeScan scores) in its portfolio and marketing materials unless Client requests otherwise in writing.
6. Confidentiality
Each party agrees to keep the other's proprietary and business information confidential and not to disclose it to third parties without prior written consent. This obligation survives termination of this Agreement for a period of two (2) years. Confidential information does not include information that is publicly available, independently developed, or received from a third party without restriction.
7. Results Disclaimer
Client acknowledges that digital marketing results — including search engine rankings, AI citation frequency, website traffic, and patient volume — cannot be guaranteed. CHC will use commercially reasonable efforts to improve Client's AI readiness and search visibility. Past results for other clients do not guarantee similar outcomes. SEO and AI visibility are influenced by many factors outside CHC's control, including algorithm changes, competitor activity, and website age.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- CHC's total aggregate liability for any claim arising under or related to these Terms shall not exceed the total fees paid by Client in the three (3) months immediately preceding the event giving rise to the claim.
- CHC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost patients, loss of data, or business interruption.
- These limitations apply regardless of the form of action and whether CHC has been advised of the possibility of such damages.
9. Indemnification
Client agrees to indemnify, defend, and hold harmless CHC, its members, managers, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Client's breach of these Terms
- Client's medical practice operations, malpractice claims, or regulatory matters
- Any content, information, or materials provided by Client to CHC for use in the deliverables
- Client's violation of any applicable law or third-party rights
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of law principles. Any dispute arising under or related to these Terms that cannot be resolved informally shall be submitted to binding arbitration in Maui County, Hawaii, under the rules of the American Arbitration Association (AAA). The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
11. Electronic Signatures
Client agrees that typing their full legal name in the enrollment form constitutes a legally binding electronic signature, equivalent to a handwritten signature, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law. Electronic signatures collected by CHC are stored with a timestamp and IP address for legal record-keeping purposes.
12. Entire Agreement & Amendments
These Terms, together with the enrollment form and any separately executed addenda, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior negotiations, representations, warranties, and agreements. These Terms may only be amended by a written instrument signed by authorized representatives of both parties. CHC reserves the right to update these Terms with 30 days notice to active clients; continued use of services constitutes acceptance.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.
